Welcome to Patina Web Co. (“we,” “our,” or “us”). These Terms & Conditions govern your use of our website and services. By accessing or using our services, you agree to these terms. If you do not agree, please do not use our services.
1. Services
We provide branding, web design, and related creative services. The scope of services will be outlined in a signed agreement or proposal for each project.
2. Payment Terms
• Full payment or the first installment of a payment plan is required before any work begins.
• If opting for a payment plan, the total project cost will be slightly higher than paying upfront to account for extended payment terms. The exact amount will be outlined in your agreement.
• The full project amount must be paid within six months of the agreement date.
• Work will not proceed beyond designated milestones until the corresponding payment has been made.
• Payments made are non-refundable.
• Late payments may incur a fee of 10% after 7 days.
3. Revisions and Approvals
• Each package includes a specified number of revision rounds, as detailed in your proposal. Additional revisions will incur additional fees.
• Timely feedback and approvals are required to meet project deadlines.
4. Client Responsibilities
To ensure a successful collaboration, you agree to:
• Provide all necessary content, materials, and information by the agreed deadlines.
• Review and approve deliverables in a timely manner.
• Maintain backup copies of any materials or data shared with us.
5. Ownership of Work
• Upon final payment, you will own the final design deliverables.
• We retain the right to showcase the work in our portfolio and marketing materials unless otherwise agreed in writing.
• Raw design files (e.g., PSD, AI) remain our intellectual property unless purchased separately.
6. Cancellation and Refund Policy
• All payments made are non-refundable, regardless of the payment method (upfront or payment plan).
• If you are on a payment plan and cancel before the project is completed, you remain responsible for paying the full project amount as outlined in your agreement.
• If we must cancel the project due to unforeseen circumstances, any unused portion of your payment will be refunded.
7. Website Maintenance and Updates
• For websites, ongoing maintenance is not included unless explicitly stated in your agreement.
• We are not responsible for any issues arising from client changes or third-party interference after project completion.
8. Limitation of Liability
We are not liable for:
• Losses, damages, or delays caused by third-party vendors or hosting platforms.
• Issues arising from outdated software, plugins, or other client-managed content.
• Any indirect, incidental, or consequential damages resulting from the use of our services.
9. Confidentiality
We agree to maintain the confidentiality of your proprietary information. You agree to do the same with our proprietary methods, processes, and pricing.
10. Dispute Resolution
In the event of a dispute:
• Both parties agree to first attempt resolution through good-faith negotiation.
• If unresolved, disputes will be settled through mediation or arbitration in South Carolina, U.S.A..
11. Changes to Terms
We reserve the right to update these Terms & Conditions at any time. Changes will be posted on our website with the updated effective date.
12. Governing Law
These Terms & Conditions are governed by the laws of South Carolina, U.S.A..
